These Terms govern your access to and use of Equifile’s filing research platform, website, and related services.

Acceptance of Terms

By accessing or using Equifile, you agree to be bound by these Terms of Service and any policies referenced in them, including our Privacy Policy. If you do not agree, do not use the service.

Description of Service

Equifile provides web-based tools for researching and reviewing public company filings and related information. Features may change over time, and we may add, remove, suspend, or modify functionality at our discretion.

Equifile is intended for professional and institutional research workflows. The service is provided for informational purposes only and does not constitute investment, legal, tax, accounting, or other professional advice.

Accounts and Access

Some features require an account. You agree to provide accurate and complete registration information and to keep your credentials confidential. You are responsible for activity occurring under your account.

You may not share credentials, attempt to bypass access restrictions, or allow unauthorized persons to use your account. We may suspend or terminate access if we believe your account has been compromised or used in violation of these Terms.

Subscriptions, Trials, and Pricing

Equifile may offer free access, paid subscriptions, trials, or enterprise arrangements. Pricing, feature limits, and plan terms may change from time to time. Unless otherwise stated in a separate written agreement, fees are non-refundable except where required by law.

If we materially change pricing for a paid plan, we will provide reasonable advance notice before the change takes effect.

Permitted Use

You may use Equifile only for lawful internal business or personal research purposes consistent with these Terms. You may not: copy or resell the service; reverse engineer or attempt to extract source code; use bots or automated means to scrape the platform except as expressly authorized; interfere with the service; or use the platform to violate law, regulation, or third-party rights.

Content and Intellectual Property

Equifile and its software, design, trademarks, branding, and original content are owned by Equifile or its licensors and are protected by intellectual property laws. These Terms do not grant you ownership of the service or any underlying intellectual property.

Public filings, regulatory source documents, and third-party data remain subject to the rights of their respective owners and source providers.

No Warranties

Equifile is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.

We do not guarantee that the service will always be secure, error-free, complete, current, or free from delays, omissions, or interruptions.

Limitation of Liability

To the fullest extent permitted by law, Equifile and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to your use of the service.

Our aggregate liability for any claim arising from or relating to the service will not exceed the greater of the amount you paid Equifile for the service during the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US$100).

Termination

You may stop using Equifile at any time. We may suspend or terminate your access at any time if we believe you have violated these Terms, created risk for Equifile or others, or if we discontinue the service.

Sections that by their nature should survive termination, including ownership, disclaimers, limitations of liability, and dispute-related provisions, will survive termination.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the site, by email, or through the service. Your continued use of Equifile after updated Terms become effective constitutes acceptance of the revised Terms.

Governing Law and Contact

These Terms are governed by the laws specified in any applicable customer agreement, or, if no separate agreement applies, by the laws of the jurisdiction from which Equifile operates, without regard to conflict-of-law principles.
